Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VertUp platform operated by [OPERATOR]("VertUp", "we", "us"). By creating an account or using VertUp, you agree to these Terms. If you do not agree, please do not use the service.

1. Who can use VertUp

You must be at least 18 years old and able to form a binding contract to use VertUp. If you use VertUp on behalf of a business, you confirm you are authorised to bind that business to these Terms.

2. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly if you suspect unauthorised use. You agree to provide accurate information and keep it up to date.

3. Subscriptions, trials and payments

• Paid plans are billed in advance on a recurring monthly basis in Australian dollars through our payment processor, Stripe.
• Paid plans include a 14-day free trial. If you do not cancel before the trial ends, your paid plan begins automatically and your card will be charged.
• Your subscription renews automatically each month until you cancel.
• Prices and plan features may change. We will give you reasonable notice of any change that affects you, and you may cancel before it takes effect.
• Usage limits apply to each plan. Optional credit top-ups, where offered, are one-time purchases and are non-refundable once used.

4. Cancellation and refunds

You can cancel your subscription at any time from your billing settings. When you cancel:

• Your plan stays active until the end of the period you have already paid for, and you keep access until then.
• You will not be charged again after that.
• We do not provide refunds for partial months, because the 14-day free trial is there to let you assess the service before paying anything.

This policy does not limit your rights under the Australian Consumer Law. If the service has a major problem — for example, it is unfit for its stated purpose, materially different from what we described, or unusable — you may be entitled to a refund, replacement or other remedy regardless of the above. 5. The marketplace

VertUp provides a marketplace connecting brands and creators. We are a platform, not a party to the agreements made between brands and creators. You are responsible for your own dealings, communications and arrangements with other users. Where a deal is completed through VertUp, a platform fee applies to the brand at the rate set out in the brand's current plan. Creators receive the full agreed amount.

6. AI-generated content

VertUp uses artificial intelligence to generate campaigns, content, analyses and recommendations. AI output may contain errors, inaccuracies or content that requires review. You are responsible for reviewing and verifying any output before relying on or publishing it. We do not guarantee specific results, rankings, performance or outcomes.

7. Acceptable use

You agree not to:

• Use VertUp for any unlawful, harmful, deceptive or infringing purpose.
• Generate or distribute content that is illegal, hateful, harassing or violates others' rights.
• Attempt to disrupt, reverse-engineer, or gain unauthorised access to the platform.
• Misrepresent your identity or impersonate others, including in creator profiles.
• Abuse, scrape, or overload the service or its AI features.

8. Your content

You retain ownership of the content you provide and create through VertUp. You grant us the limited rights needed to operate the service — for example, to process your inputs, generate outputs, and display your published marketplace profile. You are responsible for ensuring you have the rights to any content you upload.

9. Service availability

We aim to keep VertUp available and reliable, but we provide the service "as is" and do not guarantee it will be uninterrupted or error-free. We may modify, suspend or discontinue features at any time.

10. Limitation of liability

To the maximum extent permitted by law, VertUp and its operator will not be liable for any indirect, incidental or consequential damages, or for lost profits, data or business, arising from your use of the service. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.

11. Termination

You may stop using VertUp and close your account at any time. We may suspend or terminate your access if you breach these Terms or use the service in a way that could harm VertUp or other users.

12. Governing law

These Terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that state.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Continued use after changes means you accept the updated Terms.
